GTX Linux nVidia driver 256.35 failing to initialize

nVidia driver 256.35 is failing on me on an Asrock 4Core Dual Sata2 mainboard, equipped with GTX 460 1GB version. I also get a failure on Windows XP Prof. 64 (Code 10 when loading driver)

Any idea what is going on here? Here is the kernel log (dmesg output)

I tried passing the kernel parameter pci=nomsi,noaer - then the do_IRQ error messages are gone.
But I still get RmInitAdapter failed!

Googling for “RmInitAdapter failed! (0x27:0x38:1045)”, I get this very posting but no other hits (wow, Google is fast!)

I also tried all of the suggested kernel parameters in chapter 8 (“Common problems”) of the README.txt file accompanying the driver.

Any ideas, tips, suggestions?

This is what asrock says will fix the issue.

Please adjust “PCIE Downstream Pipeline" to [Disable] in BIOS chipset page.

And also “PCIE VC1 Request Queue" set to [Disable] in BIOS chipset page to

try again.

If get "!" or "?" in device manage, please reinstall Nvidia 258.96 to try.
